The Fiduciary Duty owed by the director is to the company.  If a director breaches his duty, the company is likely to lose money even to the extent of the company's being liquidated.   In that situation, stakeholders in the company are likely to lose money.   If a company is liquidated, it is most likely that the directors have made wrong decisions. In the absence of a Holding Company guarantee, [which, for this analysis, we will assume does not exist], it is unlikely that all stakeholders will lose nothing.  The individuals' losses would likely be in the priority of creditors in a liquidation.   Some decisions by directors may have been proper commercial decisions.   To 'second guess' commercial decisions' with the benefit of hindsight, may not clarify the reality.  However, if directors have acted in conjunction with an 'unpunished criminal perpetrator', [or in the case of a wholly owned subsidiary, taken orders from an 'unpunished criminal perpetrator'],  that could be a great start to proving multiple breaches of his Fiduciary Duty by that director, and hence ALL directors.

Thus, if a company loses money, or value, all stakeholders may have a claim against the company.   If the loss has, or maybe possibly has, been caused  by the Director' breach of Fiduciary Duty, each director may be put to the task of proving that such loss has not been caused by their breach.  In effect, the Fiduciary Duty owed to the company, is extended to all stakeholders.
